Welcome to Synor.
These Terms of Service (the “Terms”) govern your access to and use of Synor websites, applications, downloads and related services (collectively, the “Services”).By accessing or using the Services you agree to these Terms and to our Privacy Policy.
If you do not agree, please do not use the Services.You must be at least 18 years old or otherwise have the legal right and capacity to form a binding contract to use the Services.
Organizations using the Services represent that they have authority to bind the organization to these Terms.To use certain parts of the Services you may be asked to create an account.
You agree to:provide accurate, complete and current account information;
keep account credentials secure and not share them; and
accept responsibility for activity that occurs under your account.
If you believe your account has been compromised, contact support immediately.
We may offer downloadable desktop clients or other installers.
Downloading and using those installers may be subject to additional license terms presented at install time or inside the application.
Your ability to download a client does not require a Synor-hosted account; however, certain app features may require sign-in or activation.Some Services require payment.
When you subscribe you agree to pay applicable fees and taxes.
Key points:billing is per the plan you select and may be monthly or annual;
we may offer promotional trials such as a 14-day free trial; trial terms are shown at signup;
fees are non-refundable except as required by law or as explicitly stated in writing;
we may change pricing for new subscribers with notice; existing paid subscriptions are governed by the pricing and terms in effect when you subscribed.
If you subscribe via our third-party checkout partners (for example Stripe, Paddle or similar), your payment and billing information will be processed by that provider.
You may manage or cancel certain subscriptions via the third-party customer portal if we have enabled that provider’s hosted billing features.You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations.
You will not:attempt to gain unauthorized access to the Services or other accounts;
interfere with or attempt to disrupt the operation of the Services;
reverse engineer or attempt to extract source code, except as allowed by applicable law; or use the Services to store, transmit or process unlawful content.
We reserve the right to investigate and take action against abuse, including suspending or terminating accounts.
You retain ownership of content you upload or submit to the Services.
By submitting content you grant Synor a worldwide, non-exclusive, royalty-free license to host, store, reproduce and display that content as reasonably necessary to provide the Services and to improve, analyze and promote the Services.All intellectual property rights in the Services, the Synor name, logos, and other content are owned by Synor or its licensors.
You may not copy, modify, distribute, sell or create derivative works based on the Services except as expressly authorized.The Services may integrate with third-party products and services.
Those integrations are provided for your convenience and are subject to the third party’s terms.
Synor is not responsible for availability, functionality or security of third-party services.
You are responsible for obtaining any necessary rights to share data with those services.Our Privacy Policy describes how we collect, use and disclose personal data.
For customers acting as data controllers, enterprise customers may request a Data Processing Agreement (DPA).
For enterprise deployment options (private cloud, single-tenant), specific data handling arrangements will be addressed in your contract.We implement industry standard technical and organizational measures to protect data, including encryption in transit and at rest.
We cannot guarantee absolute security; you agree to use reasonable precautions to protect credentials and data.
Enterprise customers may request additional controls or audits as part of custom agreements.THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNOR DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
SYNOR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SYNOR OR ITS AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SYNOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.You agree to defend, indemnify and hold harmless Synor and its affiliates from and against any third-party claims, liabilities, damages, losses or expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of applicable law.
We may suspend or terminate your access to the Services at our discretion for violation of these Terms, for legal reasons, or for prolonged inactivity.
You may terminate your subscription at any time in accordance with the cancellation process described in the billing UI or third-party billing provider.
On termination, your right to access data may be limited; please export needed data before termination.
We may retain certain information as required by law and for legitimate business purposes.These Terms are governed by the laws of the jurisdiction specified in your subscription agreement or, absent that, by the laws of the State of Delaware, USA, without regard to conflict of laws.
Any disputes arising under these Terms will be resolved in the courts located in that jurisdiction, unless otherwise agreed in writing.
If you are a consumer in a jurisdiction that prohibits such choice, your local law may govern.We may modify these Terms from time to time.
Material changes will be communicated by email or by a notice on the Services prior to the effective date.
Continued use of the Services after the effective date means acceptance of the updated Terms.Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a corporate transaction.
Severability: If any provision is found invalid, the remaining provisions remain in force.
Entire agreement: These Terms, together with any referenced policies and your order or subscription agreement, constitute the full agreement between you and Synor.
